Starting a business in New York: what's different?
New York has requirements many new owners don't expect. For example, a newly formed New York LLC must publish notice of its formation in two newspapers designated by the county clerk where its office is located and file a Certificate of Publication with the Department of State within 120 days of formation (N.Y. Limited Liability Company Law § 206). Missing that deadline can suspend the LLC's authority to do business. See the Department of State's guidance on LLC publication.
