Statewide business counsel
Business attorney for owners across New York
Auxo Law PLLC helps New York business owners form companies, sign better contracts, and buy or sell businesses. Whether you run a shop on Main Street, a professional practice, or a growing company upstate or downstate, you work directly with attorney Chris Tzortzis—by phone, video, and email—with a written scope and a predictable fee before work begins.

A New York business lawyer you can reach from anywhere in the state
Most business legal work never requires a courtroom. Forming an entity, negotiating a lease, reviewing a supplier agreement, or closing the sale of a company runs on documents, deadlines, and clear advice. That makes it well suited to an online business lawyer in New York who can meet you by video, exchange drafts by email, and collect signatures electronically.
Working remotely does not mean working with a stranger. From the first consultation through the final signature, you deal with one remote business attorney in NY—the same person who knows your company, your goals, and the history of the deal. No handoffs to a rotating team, and no explaining your business twice.
Auxo Law keeps its office in Binghamton, and owners anywhere in New York are welcome to work with the firm entirely by phone and video. If you prefer to meet in person in the Southern Tier, see the Binghamton business attorney page.

New York issues worth planning for
Running a company in New York comes with requirements that catch owners off guard. A few that come up often:
- LLC publication. New York LLCs and PLLCs must publish notice of formation and file proof within 120 days, or lose the authority to carry on business until they comply.
- Operating agreements. New York requires LLC members to adopt a written operating agreement—a document that matters most when owners disagree or one wants out.
- Bulk sale notice. When a business sells most of its assets outside the ordinary course, New York sales tax rules require advance notice to the state, and buyers who skip it can inherit the seller's unpaid sales tax.
- Professional entities. Licensed professionals generally need a PLLC or professional corporation, with its own formation and ownership rules.
Handled early, each of these is routine. Discovered during a sale or a dispute, they can delay closings and cost money.

Auxo Law serves business owners throughout New York State. Clients regularly come from Binghamton, Ithaca, Elmira, Corning, Syracuse, and Oneonta, and the firm works remotely with owners in every other part of the state as well.
