Business formation and ownership agreements in Colorado
Auxo Law PLLC forms Colorado LLCs and corporations remotely and drafts the operating and shareholder agreements that keep co-owners aligned. Chris Tzortzis is licensed in Colorado and handles each formation personally, with a flat fee whenever the work allows it.

Choosing and forming the right entity
Colorado makes the filing itself simple. The harder decisions are structural: single-member or multi-member, member-managed or manager-managed, LLC or corporation, and which tax treatment fits once profits arrive. Auxo Law works through those questions and coordinates with your accountant.
The ownership agreement is where most of the value lies. It sets voting, contributions, distributions, and what happens when an owner leaves, so a later disagreement has a roadmap instead of a lawsuit.
Typical scope
- Entity selection: LLC or corporation
- Articles of organization or articles of incorporation
- Operating agreements and shareholder agreements
- Buy-sell provisions for co-owners
- Statement of trade name filings
- Coordination with the client's accountant on tax elections
Colorado formation requirements
Colorado's process differs from New York's in several practical ways:
- Online filing with the Secretary of State. Colorado LLCs and corporations are formed by filing online with the Colorado Secretary of State, typically effective immediately. Colorado has no newspaper publication requirement. Source: Colorado Secretary of State — Business.
- Annual periodic reports. Every Colorado entity must file a periodic report each year around the anniversary month of its formation. Missing it leads to delinquency and, eventually, loss of good standing. Source: Colorado Secretary of State — Periodic reports.
- Operating agreement not required by statute—but essential. The Colorado Limited Liability Company Act does not require a written operating agreement. Without one, the statute's default rules govern, which rarely match what co-owners would have agreed to. Source: C.R.S. § 7-80-101 et seq..
- Registered agent and trade names. Each Colorado entity must maintain a registered agent with a Colorado street address, and a business operating under a name other than its legal name should file a statement of trade name with the Secretary of State. After formation, Colorado owners also register with the Department of Revenue for sales tax when they sell taxable goods, and with any home-rule city that collects its own sales tax.

You leave with a filed entity, a signed ownership agreement, and a checklist of next steps such as the EIN, bank account, and tax registrations.
