Drafting and review, explained
A good contract describes the deal you actually made: scope, price, payment timing, responsibility when something goes wrong, and how either side can exit. Auxo Law drafts agreements from scratch or adapts your existing templates so they fit your business and current Colorado law.
When someone else sends the paper, a review identifies the terms that matter—indemnities, limitation of liability, renewal and termination, venue—and turns them into a short list of changes worth asking for.
Typical scope
- Customer, services, and master services agreements
- Vendor and supplier agreements
- Independent contractor agreements
- Non-disclosure agreements and Colorado-compliant restrictive covenants
- Commercial lease review
- Employment offer letters and agreements
Colorado contract rules worth knowing
Colorado has several rules that make templates from other states risky:
- Strict limits on non-competes and non-solicits. Since August 2022, Colorado voids non-compete agreements with workers except for highly compensated workers protecting trade secrets, and customer non-solicitation covenants are limited to workers earning at least 60% of that threshold. Employers must give a separate written notice of the covenant, and using an unlawful covenant can expose the employer to penalties and attorney fees. Source: C.R.S. § 8-2-113 (HB22-1317).
- Colorado law and courts for Colorado workers. A non-compete or non-solicit covering a worker who primarily lives or works in Colorado cannot require that worker to litigate outside Colorado or under another state's law. Out-of-state templates often violate this. Source: C.R.S. § 8-2-113(6).
- Shorter deadlines to sue. Many Colorado contract claims must be filed within three years, though some debts carry a six-year period. That is shorter than New York's general rule, so disputes should be evaluated promptly. Source: C.R.S. §§ 13-80-101, 13-80-103.5.
- Electronic signatures are valid. Colorado has adopted the Uniform Electronic Transactions Act, so most business contracts can be signed electronically with the same effect as ink signatures. Source: C.R.S. § 24-71.3-101 et seq..
The salary thresholds in the non-compete statute adjust every year, so any restrictive covenant should be checked against the current Colorado Department of Labor and Employment figure before it is signed.
